New Delhi ( The Uttam Hindu): Stakeholders of Tata Group are now considering arbitration to settle the issue surrounding the appointment of trustees for the Ratan Tata Endowment Foundation (RTEF) as reported by the Economic Times. This arises from the lack of clear written instructions in Ratan Tata’s will regarding the process of trustee appointments, leaving a gap in governance for the foundation. The arbitration process will be overseen by a retired Supreme Court chief justice who will have the authority to decide whether the responsibility for appointing trustees rests with the executors of Ratan Tata's will, the Tata family members, or the Tata Trusts members. This decision will be pivotal in determining the future governance structure of RTEF.

RTEF, established by Ratan Tata in 2022, is dedicated to advancing philanthropic causes and supporting research, functioning independently of Tata Trusts. The foundation was created alongside the Ratan Tata Endowment Trust to manage Ratan Tata’s personal wealth and ensure his legacy of philanthropy. However the absence of detailed instructions in Tata’s will has led to uncertainties about how the foundation should be governed in the long run. The arbitration proceedings could set a significant precedent for the governance of legacy foundations in India, especially those with significant ties to major business families. The outcome could influence how such foundations are structured and managed in the future.

Ratan Tata, who had a 0.83% stake in Tata Sons, envisioned RTEF as a way to further his philanthropic initiatives. His will, however, did not provide specific guidelines for the appointment of trustees leading to the current legal challenge. Following Ratan Tata’s passing in 2024, his half-brother Noel Tata took on the role of chairman of Tata Trusts, the philanthropic arm of the Tata Group. Noel now oversees all the constituent trusts under Tata Trusts ensuring strong corporate governance and the preservation of shareholder wealth. He also plays a vital role in identifying growth opportunities for Tata Group companies.

Noel Tata, who is also a trustee for the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust the largest entities within Tata Trusts, has had a long career within the Tata Group. He served on the boards of various Tata Group companies including Tata International Limited, Trent, Voltas, and Tata Investment Corporation. From 2010 to 2021, he served as Managing Director of Tata International Limited.
